    4. Lodgement of Forms
  • As part of meeting your compliance obligations there are a number of administrative matters that will require your attention. The Australian Securities and Investments Commission (ASIC) will require you to keep your company information up to date. If you do not keep this information up to date you may be breaching company compliance requirements. There are a series of forms that will assist you in fulfilling these administrative obligations.
  • The forms that you will need to keep your company details up to date are available on the ASIC website at www.asic.gov.au. You can go to “Find a Form” if you know the form number or go to “Log In” if you have a corporate key.
  • A corporate key will assist you with the lodgement of documents. You can obtain a corporate key from ASIC. This key will allow certain officeholders or your compliance lawyer to lodge paperwork with the regulator on behalf of your company.
  • You may be asked to write this corporate key down on any paper form you submit to ASIC. Alternatively you can lodge certain forms online or ask your compliance lawyer or adviser to assist you.
  • Some of the most common forms you will need to keep your company up to date include:
    • Changes to company details - Form 484.
    • Cessation of directorship / company secretary - Form 370.
    • Change of company name - Form 205.
    • Change of registered business address or principal place of business - Form 484.
    • Financial statement (if required) - Form 388.
    • Share issues, changes or cancellations - Form 484.
    • Cessation or commencement as ultimate holding company - Form 484.
  • ASIC will also send you an annual statement for you or your company secretary to complete.
